1. Introduction

Welcome to the Matchlytics Dashboard. These Terms and Conditions ("Terms") govern your use of the Matchlytics Dashboard platform ("Dashboard"), designed specifically for padel clubs to monitor court cameras and manage live streaming. By accessing or using the Dashboard, you agree to be bound by these Terms.

The Dashboard is operated by Matchlytics ("we," "us," or "our"). If you do not agree to these Terms, please do not use the Dashboard.

2. Dashboard Services

The Matchlytics Dashboard provides padel clubs with the following functionalities:

• Real-time monitoring of court cameras with live footage
• Creation and management of YouTube live streams
• Customization of sponsorship overlays for live streams
• Multi-camera management for facilities with multiple courts

3. Account Registration and Access

3.1 Eligibility

The Dashboard is exclusively available to authorized representatives of padel clubs that have entered into a partnership agreement with Matchlytics. Individual users or non-club entities are not eligible for Dashboard access.

3.2 Account Security

As a club administrator, you agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of your login credentials
• Restrict Dashboard access to authorized personnel only
• Notify us immediately of any unauthorized access or security breach
• Accept full responsibility for all activities conducted through your account

3.3 User Management

Club administrators may create multiple user accounts for staff members. You are responsible for managing user permissions and ensuring all users comply with these Terms.

4. Real-Time Camera Monitoring

4.1 Live Footage Access

The Dashboard provides real-time image feeds from cameras installed at your facility. This feature is intended for operational monitoring and safety purposes.

4.2 Privacy and Surveillance Compliance

You acknowledge and agree that:

• You are responsible for complying with all applicable privacy and surveillance laws in your jurisdiction
• You must post visible notices informing customers that video monitoring is in operation
• You must not use the monitoring system to invade the privacy of individuals or for any unlawful purpose

5. YouTube Live Streaming

5.1 Stream Creation and Management

The Dashboard allows you to create and manage YouTube live streams directly from your court cameras. To use this feature, you must:

• Have a valid YouTube account connected to your Dashboard
• Ensure your YouTube account is in good standing and enabled for live streaming
• Comply with all YouTube Terms of Service and Community Guidelines
• Accept full responsibility for content streamed through your YouTube channel

5.2 Player Consent for Streaming

Before initiating any live stream, you must:

• Obtain explicit consent from all players whose matches will be streamed
• Inform players that their match will be broadcast publicly on YouTube
• Provide players with the option to opt-out of streaming
• Maintain records of player consent as required by applicable laws

You acknowledge that live streaming without proper consent may result in legal liability, and Matchlytics shall not be held responsible for your failure to obtain necessary permissions.

5.3 Third-Party Platform Compliance

When using YouTube live streaming features, you agree to comply with:

• YouTube's Terms of Service
• YouTube's Community Guidelines
• Copyright laws and regulations
• Any restrictions on commercial use or advertising

Matchlytics is not responsible for any violations of YouTube's policies or any actions taken by YouTube against your account, including but not limited to stream termination, channel suspension, or account deletion.

5.4 Stream Quality and Availability

Stream quality depends on your internet connectivity and YouTube's infrastructure. We do not guarantee uninterrupted streaming or specific video quality levels. Stream interruptions, delays, or quality degradation may occur due to factors beyond our control.

6. Sponsorship Overlays

6.1 Custom Overlay Design

The Dashboard allows you to create and customize sponsorship overlays for your live streams. You may include:

• Sponsor logos and branding
• Text overlays with sponsor information
• Club branding and promotional content

6.2 Content Restrictions

You are solely responsible for all content included in your sponsorship overlays. You agree not to include:

• Copyrighted material without proper authorization
• Offensive, discriminatory, or inappropriate content
• Content that violates advertising regulations in your jurisdiction
• Misleading or false advertising claims
• Content that violates any third-party rights

6.3 Advertising Compliance

You must comply with all applicable advertising and marketing laws, including but not limited to regulations regarding gambling, alcohol, tobacco, and age-restricted products. You are responsible for ensuring that your sponsorship arrangements comply with local laws and regulations.

6.4 Intellectual Property

By uploading sponsor logos or other content to create overlays, you represent and warrant that:

• You own or have the right to use all uploaded content
• Your use of the content does not infringe on any third-party rights
• You have obtained all necessary permissions from sponsors and rights holders

7. Acceptable Use Policy

You agree to use the Dashboard only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Dashboard to violate any local, national, or international laws
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the Dashboard or its servers
• Use the Dashboard to transmit malicious code, viruses, or harmful data
• Reverse engineer, decompile, or attempt to extract source code
• Share your access credentials with unauthorized third parties
• Use the Dashboard for any competitive or commercial purpose unrelated to your club operations
• Scrape, copy, or download Dashboard content without authorization

8. Data and Privacy

8.1 Data Collection

Through your use of the Dashboard, we may collect:

• Account and user information
• Dashboard usage statistics and analytics
• Technical logs and performance data
• Information about your streaming and monitoring activities

8.2 Privacy Policy

Your use of the Dashboard is also governed by our Privacy Policy, which describes in detail how we collect, use, and protect your data. We comply with applicable data protection regulations, including GDPR where applicable.

8.3 Your Privacy Obligations

As a club using the Dashboard, you act as a data controller for any personal information processed through your use of camera monitoring and live streaming. You are responsible for:

• Complying with all applicable data protection laws
• Providing appropriate privacy notices to your customers and staff
• Implementing appropriate security measures
• Responding to data subject requests (access, deletion, etc.)
• Maintaining records of processing activities as required by law

9. Service Availability and Support

9.1 Uptime and Maintenance

We strive to maintain high availability of the Dashboard but cannot guarantee uninterrupted access. The Dashboard may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Technical issues or system failures
• Internet connectivity problems
• Third-party service disruptions (e.g., YouTube outages)

9.2 Technical Support

We provide technical support for the Dashboard during business hours. Support requests should be submitted through the designated support channels. We will make reasonable efforts to respond to and resolve technical issues promptly.

9.3 System Requirements

You are responsible for ensuring that your internet connection, hardware, and browser meet the minimum requirements for optimal Dashboard performance. We recommend using the latest versions of modern web browsers.

10. Fees and Payment

10.1 Subscription Fees

Access to the Dashboard requires a paid subscription as specified in your partnership agreement with Matchlytics. You agree to:

• Pay all applicable fees on time according to your billing schedule
• Provide accurate and current payment information
• Authorize recurring charges to your payment method
• Notify us of any changes to your payment information

10.2 Price Changes

We reserve the right to modify subscription pricing with 60 days' advance notice. Continued use of the Dashboard after the notice period constitutes acceptance of the new pricing.

10.3 Late Payment and Suspension

Failure to pay subscription fees may result in suspension or termination of your Dashboard access. We reserve the right to charge late fees and interest on overdue amounts as permitted by law.

11. Intellectual Property

11.1 Matchlytics Property

All intellectual property rights in the Dashboard, including software, algorithms, design, trademarks, and documentation, are owned by Matchlytics or our licensors. These Terms do not grant you any ownership rights to our intellectual property.

11.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Dashboard solely for your club's operational purposes. This license terminates upon termination of these Terms.

11.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Dashboard
• Reverse engineer or attempt to extract source code
• Remove, alter, or obscure any proprietary notices
• Sublicense, resell, or transfer your access rights
• Use our trademarks without prior written permission

12. Limitation of Liability

12.1 Disclaimer

The Dashboard is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Limitation

To the maximum extent permitted by law, Matchlytics shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from service interruptions, downtime, or data loss
• Issues with third-party platforms (e.g., YouTube)
• Claims arising from your failure to obtain proper consents or comply with laws
• Content you create, upload, or stream through the Dashboard
• Unauthorized access to your account due to your failure to maintain security

Our total aggregate liability shall not exceed the amount you paid us in the 12 months immediately preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Matchlytics, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Dashboard
• Your violation of these Terms
• Your violation of any laws, regulations, or third-party rights
• Content you create, upload, or stream
• Sponsorship overlays and advertising content
• Your failure to obtain necessary consents for recording or streaming
• Privacy violations or data breaches at your facility
• Infringement of intellectual property rights

14. Termination

14.1 Termination by You

You may terminate your Matchlytics subscription at any time by providing 30 days' written notice. You remain responsible for all fees accrued until the end of the notice period.

14.2 Termination by Matchlytics

We may suspend or terminate your Dashboard access immediately if:

• You violate these Terms or any applicable laws
• Your account is involved in fraudulent or illegal activities
• Payment obligations are not met
• You engage in conduct that could harm our reputation or other users
• We determine, in our sole discretion, that continued access poses a risk

14.3 Effect of Termination

Upon termination:

• Your access to the Dashboard ceases immediately
• You must cease all use of Matchlytics intellectual property
• We may delete your account data according to our data retention policies
• Fees already paid are non-refundable unless otherwise required by law
• Provisions that by their nature should survive (e.g., indemnification, limitation of liability) remain in effect

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Email notification to your registered email address
• Notification within the Dashboard interface
• Posting the updated Terms on our website

Your continued use of the Dashboard after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Dashboard.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.

16.2 Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Dashboard:

• The parties agree to first attempt to resolve the dispute through good faith negotiation
• If negotiation fails within 30 days, disputes shall be resolved through binding arbitration
• Arbitration shall be conducted in Portugal under applicable arbitration rules
• Each party bears its own costs, with arbitrator fees split equally
• The arbitrator's decision is final and binding

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property violations or breaches of confidentiality.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed partnership agreement, constitute the entire agreement between you and Matchlytics regarding the Dashboard.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your Dashboard access without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, terrorism, labor disputes, or government actions.

17.6 Notices

All notices under these Terms must be in writing and sent to the contact information on file. Notices to you may be provided via email or Dashboard notification and are deemed received when sent.
